제1조 (목적)

이 약관은 clickOK(이하 "회사")가 제공하는 전자결재 SaaS 서비스(이하 "서비스")의 이용과 관련하여 회사와 이용 조직(이하 "고객") 및 그 소속 이용자 간의 권리·의무 및 책임사항을 정함을 목적으로 합니다.

제2조 (서비스의 내용)

서비스는 조직(테넌트) 단위로 제공되는 멀티테넌트 전자결재 플랫폼으로, 문서 작성·상신·결재·알림· 첨부파일 보관·데이터 다운로드 등의 기능을 포함합니다. 각 고객의 데이터는 조직 단위로 논리적으로 분리되어 관리됩니다.

제3조 (가입 및 계정)

• 고객은 이메일 인증(OTP)을 통해 워크스페이스를 생성하고 관리자 권한을 부여받습니다.
• 관리자는 소속 멤버를 초대·관리하며, 멤버 계정의 적절한 관리 책임은 고객에게 있습니다.
• 가입 시 제공한 정보는 정확해야 하며, 허위 정보로 인한 불이익은 고객이 부담합니다.

제4조 (요금 및 결제)

• 신규 워크스페이스는 가입일로부터 30일간 무료로 체험할 수 있습니다.
• 체험 종료 후에는 유료 구독으로 전환되며, 요금은 활성 멤버 수를 기준으로 산정됩니다 (국내 결제: 10인까지 월 ₩10,000, 초과 인원 1인당 월 ₩1,000 추가 / 해외 결제: 10인까지 월 $10, 초과 인원 1인당 월 $1 추가).
• 구독료는 매월 자동으로 청구되며, 결제가 실패할 경우 최대 3일의 유예기간이 주어진 뒤 서비스 이용이 제한될 수 있습니다.
• 국내 결제는 토스페이먼츠, 해외 결제는 Paddle.com(Paddle Payments Ltd.)이 결제대행을 수행합니다. Paddle을 통한 결제의 경우 Paddle이 판매자(Merchant of Record)로서 거래를 처리하며, 관련 세금(부가세·판매세 등)의 계산·징수·신고 의무를 부담합니다.
• 회사는 카드번호 등 결제 수단 정보를 직접 저장하지 않으며, 해당 정보는 결제대행사가 관리합니다.

제5조 (계약 해지 및 이용 제한)

• 고객은 언제든지 관리자 화면에서 구독을 해지할 수 있으며, 해지 시 다음 결제 주기부터 청구가 중단됩니다.
• 회사는 고객이 관련 법령이나 이 약관을 위반한 경우, 또는 결제 실패가 유예기간을 초과하여 지속되는 경우 서비스 제공을 제한하거나 중단할 수 있습니다.

제6조 (데이터의 소유 및 처리)

고객이 서비스에 입력한 문서·첨부파일 등 데이터의 소유권은 고객에게 있습니다. 회사는 서비스 제공 목적 범위 내에서만 해당 데이터를 처리하며, 자세한 사항은 개인정보처리방침을 따릅니다. 관리자가 관리 화면에서 가입정보·문서 초기화를 실행하거나 워크스페이스 삭제를 요청하는 경우 데이터가 파기됩니다. 또한 결제 연체로 인한 이용 제한이 3개월 이상 지속되는 경우, 회사는 가입 시 등록된 이메일로 통지하기 위해 합리적으로 노력한 후 해당 워크스페이스의 데이터를 삭제할 수 있습니다.

제7조 (면책조항)

서비스는 "있는 그대로" 제공되며, 회사는 천재지변, 클라우드 인프라 장애, 고객의 귀책사유로 인한 서비스 중단에 대해 책임을 지지 않습니다. 회사의 책임이 인정되는 경우에도 그 배상 범위는 관련 법령이 허용하는 한도 내에서 고객이 최근 12개월간 지급한 구독료 총액을 초과하지 않습니다.

제8조 (준거법 및 관할)

이 약관은 대한민국 법률에 따라 규율되며, 서비스와 관련하여 분쟁이 발생할 경우 회사 소재지를 관할하는 법원을 제1심 관할 법원으로 합니다.

1. Purpose

These Terms govern the use of the electronic approval SaaS service ("Service") provided by clickOK ("Company") by customer organizations ("Customer") and their members.

2. The Service

The Service is a multi-tenant electronic approval platform offered per organization (tenant), including document creation, submission, approval, notifications, attachment storage, and data export. Each customer's data is logically isolated by tenant.

3. Accounts

• Customers create a workspace via email (OTP) verification and are granted administrator access.
• Administrators invite and manage members; the Customer is responsible for proper account management.
• Information provided at signup must be accurate.

4. Fees and Payment

• New workspaces include a 30-day free trial.
• After the trial, a paid subscription applies, priced per active seat (domestic card: ₩1,000/seat/month, minimum 10 seats; international card: $1/seat/month, minimum 10 seats).
• Subscriptions are billed automatically each month. If a payment fails, a grace period of up to 3 days applies before access may be restricted.
• Domestic payments are processed by Toss Payments; international payments are processed by Paddle.com (Paddle Payments Ltd.), which acts as the Merchant of Record and is responsible for calculating, collecting, and remitting applicable taxes.
• The Company does not store card details directly — this is handled entirely by the payment processor.

5. Cancellation and Suspension

Customers may cancel their subscription at any time from the admin screen; billing stops from the next billing cycle. The Company may restrict or suspend the Service if the Customer violates applicable law or these Terms, or if a failed payment remains unresolved beyond the grace period.

6. Data Ownership

The Customer owns all data (documents, attachments, etc.) entered into the Service. The Company processes such data only for the purpose of providing the Service, as further described in the Privacy Policy. Data is deleted when an administrator resets the account/documents from the admin screen or requests deletion of the workspace. In addition, if access remains restricted due to a failed payment for 3 months or more, the Company may delete the workspace's data after making a reasonable effort to notify the email address on file.

7. Disclaimer

The Service is provided "as is." The Company is not liable for interruptions caused by force majeure, cloud infrastructure outages, or Customer fault. Where liability is established, it is limited to the total subscription fees paid by the Customer in the preceding 12 months, to the extent permitted by law.

8. Governing Law

These Terms are governed by the laws of the Republic of Korea.
